Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) form a binding agreement between you and Aevaric Inc. (“Zethos,” “we,” or “us”) and govern your access to and use of the Zethos applications and related services (collectively, the “Service”). By using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. The Service

Zethos is a commitment-tracking application. It connects to the communication services you authorize, extracts commitments, follow-ups, and meeting outcomes from the resulting data using artificial intelligence, and presents a unified ledger of your obligations. The Service is provided to individual end users and is offered at no charge during the period covered by these Terms.

3. Eligibility and Accounts

You must be at least sixteen (16) years of age to use the Service. You are responsible for maintaining the confidentiality of the credentials used to access your account and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized access.

4. License

Subject to your compliance with these Terms, Zethos grants you a personal, limited, non-exclusive, non-transferable, revocable license to install and use the Service on devices you own or control, for your personal or internal business purposes.

You may not:

• Copy, modify, distribute, sublicense, sell, or otherwise transfer the Service;
• Reverse engineer, decompile, or disassemble any part of the Service, except to the extent that this restriction is prohibited by applicable law;
• Use the Service to develop a competing product, or to train or evaluate a machine-learning model;
• Interfere with, circumvent, or attempt to bypass any security mechanism or rate limit;
• Use the Service in any manner that violates applicable law or the rights of any third party.

5. Third-Party Integrations

The Service permits you to connect third-party services such as Google Workspace, Microsoft 365, Slack, GitHub, Linear, and meeting platforms. Each integration operates under that provider’s own terms and privacy policy, which you remain responsible for complying with. Zethos is not responsible for the availability, functionality, or content of any third-party service. You may revoke any integration at any time.

6. Your Content

“Your Content” means the data we process on your behalf from the services you connect, together with the derived ledger, contact profiles, and meeting notes produced by the Service. You retain all rights in Your Content. You grant Zethos a worldwide, non-exclusive, royalty-free license to host, store, process, and display Your Content solely as necessary to provide the Service to you.

7. Artificial Intelligence

The Service uses third-party AI models to interpret and summarize Your Content. AI outputs may be inaccurate, incomplete, or otherwise unsuitable for your purposes. You are solely responsible for reviewing AI-generated outputs before relying on them and for any decisions made or actions taken on their basis. Zethos disclaims liability for the accuracy of AI-generated content to the maximum extent permitted by law.

8. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation;
• Infringe the intellectual property, privacy, or other rights of any person;
• Transmit unsolicited communications, malware, or harmful code;
• Harass, defame, or threaten any person;
• Attempt to access accounts, systems, or data without authorization;
• Interfere with the operation of the Service or its underlying infrastructure.

9. Intellectual Property

The Service, including all software, designs, text, graphics, and other content (excluding Your Content), is owned by Zethos or its licensors and is protected by copyright, trademark, and other laws. These Terms grant you no rights of ownership in the Service.

10. Disclaimers

The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Zethos does not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Zethos, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business opportunities, or goodwill, arising from or relating to your use of the Service, whether based on contract, tort (including negligence), strict liability, or any other legal theory, and whether or not Zethos has been advised of the possibility of such damages.

The aggregate liability of Zethos arising from or relating to these Terms or the Service shall not exceed one hundred United States dollars (US$100).

12. Indemnification

You agree to defend, indemnify, and hold harmless Zethos and its officers, directors, employees, and agents from and against any claim, loss, liability, or expense (including reasonable attorneys’ fees) arising from your breach of these Terms, your violation of applicable law, or your misuse of the Service.

13. Termination

You may terminate this agreement at any time by deleting your account. We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms, if your continued use poses a security or legal risk, or if we cease to offer the Service. Provisions that by their nature should survive termination (including Sections 6, 9, 10, 11, 12, and 14) will survive.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising from or relating to these Terms shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

15. Changes to These Terms

We may modify these Terms from time to time. The current version will be available at this URL and will indicate the date on which it became effective. Material changes will be communicated by reasonable means before they take effect. Your continued use of the Service after a modification takes effect constitutes acceptance of the revised Terms.

16. Miscellaneous

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Zethos with respect to the Service. If any provision is held unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision shall not be deemed a waiver. You may not assign or transfer these Terms without our prior written consent.
